Formal service engagements are governed by a separate Master Services Agreement or Statement of Work executed between GrowingBiz and the client (each, a "Commercial Agreement"). These Terms apply to your general use of the website and to any interactions not covered by a Commercial Agreement.
3. Eligibility
You must be at least eighteen (18) years old to use the website. If you access the website on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers both to you personally and to that entity. GrowingBiz services are designed for business customers; the website is not intended for consumer use.
4. Commercial Agreements and Order of Precedence
Where GrowingBiz delivers services to a company under a Master Services Agreement, Statement of Work, purchase order, or other written commercial arrangement, the terms of that Commercial Agreement shall govern the specific engagement and shall prevail over these Terms in the event of any conflict. Recurring services (including maintenance, support, and managed automations) are governed by the terms of the applicable Commercial Agreement, including scope, service levels, renewal, and termination provisions.
5. Communications and Lead Submissions
When you submit a contact form, request a proposal, subscribe to a newsletter, or otherwise share information through the website, you consent to being contacted by GrowingBiz regarding your inquiry. You may opt out of marketing communications at any time using the unsubscribe link in our emails or by contacting us at hello@growingbizcoach.com.
6. Third-Party Platforms and Integrations
GrowingBiz builds solutions that integrate with third-party platforms and tools, including but not limited to Odoo, CRM systems, messaging platforms (such as WhatsApp Business), email systems, marketing platforms, and AI providers. You acknowledge and agree that:
- (a) your use of any third-party platform is subject to that platform's own terms of service and privacy policies;
- (b) GrowingBiz does not control third-party platforms and is not responsible for their availability, functionality, changes, pricing, or discontinuation;
- (c) you are responsible for maintaining the licenses, subscriptions, credentials, and legal compliance required to use those platforms in connection with the automations we deliver;
- (d) if a third-party platform changes its API, pricing, or terms in a way that affects the automations we have built, additional work may be required to adapt or rebuild those automations, and such work will be governed by the applicable Commercial Agreement or a new Statement of Work.
7. Artificial Intelligence Features
GrowingBiz solutions frequently include artificial intelligence features powered by third-party AI providers, including but not limited to Anthropic (Claude), OpenAI, and similar providers. You acknowledge and agree that:
- (a) AI-generated outputs are probabilistic and may contain errors, inaccuracies, or content that is unexpected, biased, or unsuitable for your intended purpose;
- (b) you are responsible for reviewing, validating, and approving AI-generated outputs before relying on them for business decisions, customer communications, financial transactions, legal, medical, or other high-stakes purposes;
- (c) GrowingBiz does not warrant the accuracy, completeness, or fitness for a particular purpose of any AI-generated output;
- (d) your use of AI providers integrated into GrowingBiz solutions is subject to those providers' terms of service and usage policies, including restrictions on prohibited use cases;
- (e) you are responsible for ensuring that your use of AI features complies with applicable laws and regulations, including data protection, consumer protection, sector-specific regulations, and any AI-specific regulations in your jurisdiction;
- (f) inputs and outputs processed through AI providers may be subject to those providers' data handling practices; you are responsible for not submitting sensitive personal data, confidential information of third parties, or other regulated data through AI features unless you have obtained the necessary consents and have verified the AI provider's data handling terms are appropriate for such data.
8. Client Data and Data of End Users
In the course of delivering Services, GrowingBiz may access, process, or transmit data controlled by the client, including data about the client's own customers, contacts, employees, and business operations ("Client Data"). You represent and warrant that:
- (a) you have all rights, consents, and legal bases necessary to authorize GrowingBiz to access, process, and transmit Client Data as required to deliver the Services;
- (b) you are the data controller of Client Data and GrowingBiz acts as a data processor or service provider on your behalf;
- (c) you will not provide GrowingBiz with data that you are not authorized to share, or that is subject to legal, contractual, or regulatory restrictions that GrowingBiz has not been informed of in writing;
- (d) the parties will formalize data protection obligations through the applicable Commercial Agreement and, where required by law, through a separate Data Processing Agreement.
9. Intellectual Property
All content made available through the website — including text, graphics, logos, trademarks, videos, methodologies, playbooks, software, and design — is owned by Strauss Holdings LLC or its licensors and is protected by U.S. and international intellectual property laws. The "GrowingBiz" name and associated marks are trademarks of Strauss Holdings LLC. Third-party names, marks, and platforms referenced on the website (including Odoo, WhatsApp, Anthropic, OpenAI, and others) are the property of their respective owners and are used for identification only. Ownership of deliverables produced under a Commercial Agreement (such as custom automations, configurations, and workflows) shall be governed by the terms of that Commercial Agreement.
10. Prohibited Uses
You agree not to use the website or the Services to: (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) upload or transmit any material that is unlawful, defamatory, harassing, obscene, malicious, or otherwise objectionable; (d) impersonate any person or misrepresent your affiliation with any organization; (e) interfere with or disrupt the website or its infrastructure; (f) attempt to gain unauthorized access to any portion of the Services or to any third-party system integrated with our solutions; (g) use the Services to distribute spam, malware, or unsolicited communications; (h) use the Services in violation of the terms of any integrated third-party platform (including WhatsApp Business Policy, email anti-spam laws, and AI provider usage policies); or (i) use the Services to develop, train, or improve a competing product or service.
11. Disclaimer of Warranties
The website is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, or accuracy of content. We do not warrant that the website will meet your requirements, that any specific business outcome will result from our Services, or that AI-powered features will produce accurate or complete results. For customers under a Commercial Agreement, warranties and service commitments shall be governed by the terms of that agreement. Any reliance on the website is at your sole risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Strauss Holdings LLC, GrowingBiz, its affiliates, or their respective officers, directors, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of the website or the Services, including any losses arising from AI-generated outputs, third-party platform failures, or data processing activities, whether based on contract, tort, strict liability, or any other legal theory, even if advised of the possibility of such damages.
For customers under a Commercial Agreement, the limitation of liability set forth in that agreement shall govern. For all other users of the website, our aggregate liability arising out of or relating to these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Strauss Holdings LLC, GrowingBiz, its affiliates, and their respective officers, directors, employees, and contractors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the website or the Services; (b) your violation of these Terms or any Commercial Agreement; (c) your violation of any third-party right; (d) Client Data that you provided or authorized us to process; or (e) any decision, communication, or transaction based on AI-generated outputs.
14. Termination
We may suspend or terminate your access to the website at any time, with or without notice, for any reason, including any breach of these Terms. Upon termination, your right to use the website ends immediately. Termination of Services delivered under a Commercial Agreement shall be governed by the terms of that agreement. Sections 6 through 17 will survive termination.
15. Modifications
We may modify these Terms at any time by posting the revised version on our website and updating the "Last updated" date. Material changes will be communicated by email or in-product notice where feasible. Your continued use of the website after the effective date constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your general use of the website shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Casper, Wyoming, and conducted in English. Each party waives any right to a jury trial and to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
Where a specific Commercial Agreement includes its own governing law and dispute resolution clauses, those provisions shall govern disputes arising from that Commercial Agreement.
17. Miscellaneous
These Terms, together with the Privacy Policy and any applicable Commercial Agreement, constitute the entire agreement between you and us regarding the website and supersede all prior agreements regarding the website. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
